Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für alle gegenwärtigen und künftigen Angebote, Aufträge und Verträge mit der Opelium GmbH, insbesondere im Bereich der Computer Systemvalidierung (CSV) und im Qualitätsmanagement, sowie für Schulungsangebote der Opelium Academy.These General Terms and Conditions apply to all current and future offers, assignments and contracts with Opelium GmbH, in particular in the areas of computer system validation (CSV), quality management and training services offered by Opelium Academy.
Mit der Beauftragung oder Nutzung unserer Dienstleistungen bestätigt der Kunde, diese AGB in der jeweils aktuellen Fassung zur Kenntnis genommen und akzeptiert zu haben.By commissioning or using our services, the customer confirms that they have read and accepted these terms and conditions in their current version.
Abweichende Bedingungen des Kunden gelten nur, wenn sie von der Opelium GmbH ausdrücklich und schriftlich anerkannt und bestätigt werden.Deviating customer terms only apply if they have been expressly acknowledged and confirmed in writing by Opelium GmbH.
2. Vertragsgegenstand2. Subject Matter

- Durchführung von Schulungen im Rahmen der Opelium AcademyConducting training within Opelium Academy
Leistungen der Opelium AcademyServices of Opelium Academy
- Präsenz- und Online-Schulungen, Trainings, Workshops und E-Learning-Programme zu CSV, GMP, Datenintegrität und verwandten ThemengebietenIn-person and online training, workshops and e-learning programs on CSV, GMP, data integrity and related topics
- Inhalte, Dauer und Preise der Schulungen sind in den jeweiligen Angeboten beschriebenContent, duration and prices are described in the respective offers
- Die Teilnahme erfolgt auf eigene Verantwortung. Die Opelium GmbH übernimmt keine Garantie für individuellen Lernerfolg oder PrüfungsergebnisseParticipation is at the participant's own responsibility. Opelium GmbH does not guarantee individual learning success or examination results
- Teilnehmer erhalten nach erfolgreicher Teilnahme ein ZertifikatParticipants receive a certificate after successful completion
3. Vertragsschluss3. Conclusion of Contract
Ein Vertrag kommt durch schriftliche Bestätigung eines Angebots, unterzeichnete Auftragsbestätigung oder durch die Buchung einer Schulung über die Website der Opelium GmbH oder per E-Mail zustande. Änderungen und Ergänzungen bedürfen der Schriftform.A contract is concluded by written confirmation of an offer, signed order confirmation or by booking a training course via the Opelium GmbH website or by email. Amendments and additions must be made in writing.
Die Opelium GmbH behält sich vor, Buchungen abzulehnen oder Termine zu verschieben.Opelium GmbH reserves the right to reject bookings or postpone dates.
4. Preise und Zahlungsbedingungen4. Prices and Payment Terms
Alle Preise verstehen sich netto zuzüglich gesetzlicher Mehrwertsteuer.All prices are net prices plus statutory VAT.
Rechnungen sind innerhalb von 30 Tagen nach Rechnungsdatum ohne Abzug zu begleichen.Invoices are payable within 30 days from the invoice date without deduction.
Bei Zahlungsverzug behält sich die Opelium GmbH vor, Verzugszinsen in gesetzlicher Höhe zu berechnen.In the event of late payment, Opelium GmbH reserves the right to charge default interest at the statutory rate.
5. Stornierung und Umbuchung5. Cancellation and Rebooking
Stornierungen von Schulungen sind bis 14 Tage vor Veranstaltungsbeginn kostenfrei möglich.Training cancellations are free of charge up to 14 days before the event begins.
Bei späterer Stornierung wird eine Stornogebühr von 50 % des Schulungspreises erhoben.For later cancellations, a cancellation fee of 50% of the training price will be charged.
Umbuchungen sind nach Verfügbarkeit möglich und bedürfen der schriftlichen Zustimmung.Rebookings are possible subject to availability and require written approval.
6. Haftung6. Liability
Die Opelium GmbH haftet nur für Schäden, die durch Vorsatz oder grobe Fahrlässigkeit verursacht wurden.Opelium GmbH is liable only for damages caused intentionally or by gross negligence.
Eine Haftung für sonstige Schäden, insbesondere für indirekte Schäden, Folgeschäden, entgangenen Gewinn, ausgebliebene Einsparungen, Betriebsunterbrechungen oder Datenverluste, Schäden durch höhere Gewalt oder Handlungen Dritter, ist, soweit gesetzlich zulässig, ausgeschlossen.Liability for other damages, in particular indirect damages, consequential damages, lost profits, lost savings, business interruptions, data loss, damages caused by force majeure or actions of third parties, is excluded to the extent permitted by law.
Die Inhalte der Schulungen von Opelium Academy sowie sämtliche Schulungsunterlagen dienen ausschließlich der allgemeinen beruflichen Weiterbildung. Sie stellen keine rechtliche, regulatorische oder fachliche Beratung im Einzelfall dar und können eine individuelle Beurteilung oder Beratung nicht ersetzen. Eine Haftung für die Richtigkeit, Vollständigkeit und Aktualität der vermittelten Inhalte wird daher, vorbehaltlich zwingender gesetzlicher Vorschriften, ausgeschlossen.The training content of Opelium Academy and all training materials are intended solely for general professional development. They do not constitute legal, regulatory or professional advice in individual cases and cannot replace individual assessment or consultation. Liability for the accuracy, completeness and timeliness of the content is therefore excluded, subject to mandatory statutory provisions.
7. Urheberrecht und Nutzungsrechte7. Copyright and Usage Rights
Sämtliche Unterlagen, Präsentationen, Dokumentationen, E-Learning-Inhalte sowie sonstige im Rahmen der Trainings der Opelium Academy bereitgestellten Materialien sind urheberrechtlich geschützt und bleiben alleiniges geistiges Eigentum der Opelium GmbH.All documents, presentations, documentation, e-learning content and other materials provided as part of Opelium Academy training are protected by copyright and remain the sole intellectual property of Opelium GmbH.
Die Opelium GmbH behält alle Rechte an vorbestehendem Know-how, Methoden und Standards.Opelium GmbH retains all rights to pre-existing know-how, methods and standards.
Der Kunde erhält ein einfaches, nicht übertragbares und nicht unterlizenzierbares Nutzungsrecht, ausschließlich für den vereinbarten Zweck.The customer receives a simple, non-transferable and non-sublicensable right of use exclusively for the agreed purpose.
Eine Weitergabe, Vervielfältigung, Veröffentlichung oder sonstige Nutzung der Materialien, ganz oder teilweise, insbesondere zu kommerziellen Zwecken, ist ohne vorherige ausdrückliche schriftliche Zustimmung der Opelium GmbH nicht gestattet.Forwarding, reproducing, publishing or otherwise using the materials, in whole or in part, especially for commercial purposes, is not permitted without prior express written consent from Opelium GmbH.
8. Datenschutz und Vertraulichkeit8. Data Protection and Confidentiality
Die Verarbeitung personenbezogener Daten durch beide Parteien erfolgt in Übereinstimmung mit der Datenschutz-Grundverordnung (DSGVO) sowie allen sonst anwendbaren Datenschutzgesetzen.The processing of personal data by both parties is carried out in accordance with the General Data Protection Regulation (GDPR) and all other applicable data protection laws.
Beide Parteien sind verpflichtet, vertrauliche Informationen vertraulich zu behandeln und ausschließlich im Rahmen der vertraglichen Vereinbarungen zu verwenden. Die Geheimhaltungspflicht besteht auch nach Vertragsbeendigung für 5 Jahre fort.Both parties are obliged to treat confidential information confidentially and to use it exclusively within the scope of the contractual agreements. The confidentiality obligation continues for 5 years after termination of the contract.
9. Schlussbestimmungen9. Final Provisions
Diese AGB sowie sämtliche daraus entstehenden oder damit in Zusammenhang stehenden Rechtsverhältnisse unterliegen ausschließlich österreichischem Recht, unter Ausschluss des UN-Kaufrechts (CISG).These terms and conditions and all legal relationships arising from or in connection with them are governed exclusively by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
Für alle Streitigkeiten aus oder im Zusammenhang mit diesen AGB sowie den darauf basierenden Vertragsverhältnissen wird das sachlich zuständige Gericht am Sitz der Opelium GmbH als Gerichtsstand vereinbart.For all disputes arising from or in connection with these terms and conditions and the contractual relationships based on them, the competent court at the registered office of Opelium GmbH is agreed as the place of jurisdiction.
Sollten einzelne Bestimmungen dieser AGB unwirksam sein, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt.If individual provisions of these terms and conditions are invalid, the validity of the remaining provisions remains unaffected.
